Terms of Service

1. Acceptance of terms
By creating an account or using Dropzippa (the “Service”), operated by Tringify, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
2. Eligibility
You must be at least 18 and capable of forming a binding contract. The Service is currently offered to businesses in India and billed in INR.
3. Account registration
You must provide accurate information and keep it current. You are responsible for safeguarding your credentials, your API keys and the agents you install, and for all activity under your account. Tell us promptly at security@dropzippa.com if you believe your account or an agent has been compromised.
4. Service description
The Service accepts jobs describing file operations and dispatches them to agents you have installed on machines you control. Each agent applies operations only within the folders configured on that machine.
You control the boundary. The folders an agent may touch are defined in a configuration file on your machine, not by us. You are responsible for choosing those folders, for the permissions you grant them, and for restricting access to the machine and that file. We cannot widen an agent’s access, and we are not responsible for the consequences of folders you choose to expose.
5. Subscription and billing
Paid plans are billed in advance on a recurring basis until cancelled. Plans include a monthly allowance of operations, a maximum number of connected agents, and a job history retention window. Exceeding your allowance stops further jobs from being accepted until the next period or until you purchase additional capacity. We do not charge overage automatically. Prices may change on notice, effective at your next billing period.
6. Refund policy
Subscription fees are non-refundable, and we do not provide refunds or credits for partial months, unused capacity, or periods where the account was active but unused. You may cancel at any time from the dashboard, and your plan remains active until the end of the paid period.
7. Acceptable use
You agree not to use the Service to:
- Deliver files to machines you do not own or are not authorised to administer.
- Distribute malware, or stage files intended to be executed to compromise a system.
- Infringe intellectual property rights or distribute unlawful content.
- Circumvent, probe or disable the folder scoping, quota or authentication mechanisms of the Service.
- Interfere with the Service’s operation or attempt to access another customer’s data.
- Resell the Service without our written agreement.
The Service performs no execution of any kind, and attempting to use it as one half of a chain that executes delivered files on machines you do not administer is a breach of these Terms.
8. Intellectual property
The Service, including the agent software, its interfaces and documentation, remains our property. Your files and your data remain yours. You grant us only the limited rights needed to operate the Service for you.
9. Data and privacy
Our handling of your data is described in the Privacy Policy, which forms part of these Terms. You are responsible for ensuring you have the right to process the files you move through the Service.
10. Warranties and limitation of liability
The Service is provided “as is”, without warranties of any kind to the extent permitted by law. We do not warrant that it will be uninterrupted or error-free.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost or corrupted data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
You are responsible for maintaining backups of data on machines running an agent. Jobs are applied atomically and a failed job leaves your folders unchanged, but operations you instruct — including delete, move, and any operation with overwrite enabled — do what you asked, and we cannot undo them.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate an account that breaches these Terms, that is used unlawfully, or for non-payment. On termination your right to use the Service ends and your data is handled as described in the Privacy Policy. Provisions that by their nature should survive termination will survive.
12. Changes to terms
We may modify these Terms. Material changes will be communicated through the Service or by email. Continuing to use the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict of law provisions. Disputes arising out of or relating to these Terms or the Service are subject to the exclusive jurisdiction of the courts of India.
